| I don’t believe board members can file a proxy vote on a board motion. Motions are debated and subject to amendments. A director can participate via phone as long as he can hear what is said and others can hear him. That was not the case. | ||||||

For reference, the above message is a reply to a message where: Daly didn't vote. Doug Parks did not send in a proxy. Janisak & Rogers voted to rescind. Perrone, Brown & Horn voted against. I thought Horn had excellent reasoning for her position. |
