For reference, the above message is a reply to a message where: Bylaws Section 6.01 and 6.02 address the election of officers. While there is no mention of a Parliamentarian (or for that matter General Counsel and accounting firm), it is clear that all officers are to be voted on my the Board. That is what took place the other night. Voting for corporate officers was never the issue, as I recall. As for appointments, you are correct. I recall former board member George Coleburn constantly saying the is no position of General Counsel. Then again, who cares what the board calls its attorney? |
