Isn’t nitpicking what bylaws and resolutions is all about?
No. The standard is assuring hat the two effectively meet the requirements of the organization. The By-laws are a legal requirement described as follows in the Maryland Code: § 2-110. Contents and keeping of bylaws The resolutions in the Book of Resolutions provide any needed provisions to effectively implement the governing documents (DR's and charter in addition to by-laws). M-06 is perhaps the most identifiable of such a resolution. The provisions of M-06 put detail to what is a general description of the election process contained in 5 short By-laws paragraphs: Section 5.03. It is not a good practice, at least in my opinion, to focus on a single phrase, sentence or paragraph and identify a supposed weakness without considering the entire context of the action. Why is the Election Committee responsible for any Resolution to the exclusion of the Bylaws and Resolutions Committee? I am not going to copy resolution provisions that answer this question. You will have to do your own research. B-01 paragraph 4.c provides for the assignment of resolution responsibility. Those assignments are on what is called the Governance Document Review. This document is attached to minutes of By-laws and Resolutions committee meetings posted on the Association website. The document has been brought to the attention of the Board and committee chairs on multiple occasions. The Attachment to B-01 provides a procedure for amending resolutions. Why is the Election Committee responsible for any Resolution to the exclusion of the Bylaws and Resolutions Committee? |
